Overview of the Service
Zeraix has two layers, and these Terms apply differently to each:
- Local Core — local model inference, local conversations, local memory, local files, Developer Mode, and the local execution sandbox. This layer runs entirely on your own device, is governed by an open-source license (see Section 9), does not require an account, and is provided free of charge.
- Optional Networked Features — Google Sign-In for Zeraix's official cloud models, the plugin marketplace (including the official Gmail plugin), and any cloud model, custom endpoint, or MCP service you choose to connect yourself. These features are optional, and some require an account, Google Sign-In, or a connection to a third-party service not controlled by Zeraix.
Eligibility and accounts
You must be at least 13 years old (or the minimum age of digital consent required in your country or region — for example, 14 in mainland China, or 16 in the EU/EEA). If you are below the applicable legal age, you must use the Service only with the consent and supervision of a parent or legal guardian. If you sign in with Google to use Zeraix's official cloud models, you are responsible for safeguarding your account credentials and for all activity under your account. If you suspect unauthorized use of your account, please contact us promptly using the email listed in Section 15.
Acceptable use
You agree not to use the Service to:
- Violate any applicable law or regulation, or infringe on the legitimate rights of any third party;
- Send spam, phishing messages, or other abusive content via the Gmail plugin or any other feature of the Service;
- Attempt to circumvent rate limits, quotas, or access controls on Zeraix's official cloud models;
- Reverse engineer, decompile, or attempt to extract the underlying model weights or infrastructure of Zeraix's officially hosted cloud models (this restriction does not apply to the open-source Local Core, which you may view, modify, and redistribute under its license — see Section 9);
- Develop a product that competes with Zeraix's official cloud model service by reselling access to it;
- Upload, generate, or distribute unlawful, infringing, or defamatory content, or content that violates others' privacy — including using the Gmail plugin to access a mailbox you are not authorized to access;
- Interfere with or disrupt the integrity or normal operation of the Service, including introducing malware or attempting unauthorized access to Zeraix's systems.
We may suspend or terminate related access for violations of this section, in accordance with Section 11.
AI-generated content and AI-performed actions
Zeraix allows AI models to generate content and, with your authorization, to perform actions on your behalf — such as drafting or sending email via the Gmail plugin, editing files, or executing terminal commands in Developer Mode.
- AI-generated content can be wrong. Whether from a local model, Zeraix's official cloud models, or a third-party/custom endpoint model you've connected, the generated content may be inaccurate, incomplete, or unsuitable for your specific purpose. This content is a draft or suggestion, not verified fact or a pre-approved instruction.
- Verification before execution is your responsibility. When the Service asks for your confirmation — such as a diff preview before a file change, a confirmation before running a command, or a confirmation before sending an email — that step exists to give you a chance to catch and stop mistakes. Please carefully review what's actually shown to you — the content, path, or command itself — rather than just the AI's description of it, before confirming.
- You are solely responsible for actions you approve and any resulting consequences, including but not limited to emails sent via the Gmail plugin, files created or modified, and commands executed — regardless of whether the action was performed directly by you or by the AI on your behalf after your approval.
- This section applies to all models used with the Service, including third-party and custom endpoint models (see Section 5).
- For anything important that Developer Mode or a plugin might modify, we recommend keeping backups and using version control.
Section 12 (Disclaimers) and Section 13 (Limitation of Liability) contain further detail on the scope of our responsibility for AI-generated content and AI-performed actions.
Third-party models, MCP services, and plugins
The Service lets you connect your own local models, third-party cloud model providers, custom OpenAI-compatible endpoints, MCP (Model Context Protocol) services, and marketplace plugins other than the official Gmail plugin. These are third-party services you choose to connect yourself, and are not operated, reviewed, vetted, warranted, or controlled by Zeraix.
- Data you send through a third-party connection is transmitted directly to that third party and handled according to its own infrastructure and policies, not Zeraix's.
- The availability of a service, or the presence of a third party in Zeraix's plugin marketplace or MCP directory, does not mean Zeraix endorses its quality, security, or privacy practices.
- Your use of any third-party model, endpoint, MCP service, or plugin is governed by that third party's own terms, and you are responsible for reviewing and complying with those terms and for any fees that third party charges.
- Zeraix bears no liability for anything arising from your use of, or reliance on, any third-party service connected through the Service.
Special provisions regarding the Gmail plugin
If you connect the Gmail plugin, you are also subject to the Google Terms of Service and the Gmail Additional Terms of Service. Zeraix's use and transfer of information obtained via Google APIs (including through the Gmail plugin) strictly adheres to the Google API Services User Data Policy (including its Limited Use requirements) and Section 4.5 of our Privacy Policy.
You are responsible for the scopes you authorize, the instructions you give the AI agent regarding mailbox actions, and any emails sent or actions performed by the AI once you've approved them.
Fees
Zeraix's Local Core is provided free of charge and does not require an account, subscription, or usage quota. Some optional networked services — such as Zeraix's officially hosted cloud models or other account-based features — may require payment. Where fees apply, we will disclose pricing and billing terms before you incur any charges, and your use of a paid feature constitutes agreement to those disclosed terms.
Feedback
If you send us feedback, bug reports, or suggestions about the Service, you grant us a non-exclusive, worldwide, royalty-free license to use that feedback for any purpose, without any obligation to compensate you.
Intellectual property and open-source license
Zeraix's Local Core is open-source software, licensed under the terms found in the LICENSE file in the Zeraix source code repository, which governs your rights to use, modify, and redistribute that code; with respect to that open-source code itself, the license controls in the event of any conflict with these Terms.
Zeraix's officially hosted cloud model service, the Zeraix name, logo, and brand assets, and any proprietary components of the Service not covered by the open-source license, are owned by Zeraix. Except as necessary to accurately refer to the Service (e.g., "Built with Zeraix"), these Terms do not grant you any license to use Zeraix's trademarks or brand assets.
Third-party model output and intellectual property
Content generated by any model (whether local, official cloud, or third-party) may be subject to the terms of the underlying model provider, or the license of the model weights being used — particularly for community GGUF models you download yourself. You are responsible for reviewing and complying with those terms, including any restrictions in a specific model's license regarding commercial use, redistribution, or attribution requirements.
Suspension and termination
If you violate these Terms, misuse the Service, or as required by law, we may suspend or terminate your access to account-based features (Google Sign-In, official cloud models, or the plugin marketplace). You may stop using the Service and delete your account at any time. Regardless of whether networked features are suspended, the Local Core remains usable without an account, subject to the open-source license described in Section 9.
Sections 4, 5, 9, 10, 12, 13, 14, and 15 survive termination of these Terms.
Disclaimers
The Service is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or trade usage. Without limiting the foregoing, we do not warrant that: (a) AI-generated content or AI-performed actions will be accurate, complete, or suitable for your specific purpose; (b) the Service will operate uninterrupted, timely, securely, or error-free; or (c) any third-party model, MCP service, or plugin connected through the Service will be safe, accurate, or reliable.
Limitation of liability
To the maximum extent permitted by law, Zeraix and its contributors are not liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, goodwill, or other intangible losses, arising out of or related to your use of the Service — including but not limited to damages arising from AI-generated content, AI-performed actions (such as emails sent, files modified, or commands executed), or your use of any third-party model, MCP service, or plugin, even if we have been advised of the possibility of such damages. For any claim arising out of these Terms or the Service, our aggregate liability shall not exceed the greater of: (a) the amount you paid us in the 12 months preceding the claim, or (b) US$50.
Some jurisdictions do not allow the exclusion or limitation of certain types of liability, so some of the above limitations may not apply to you.
Governing law
These Terms are governed by the laws of the People's Republic of China (for purposes of this agreement only, excluding the laws of the Hong Kong Special Administrative Region, the Macao Special Administrative Region, and Taiwan), without regard to its conflict-of-law rules. Except as otherwise required by applicable law, any dispute arising out of these Terms or the Service shall be subject to the exclusive jurisdiction of the People's Court of Yuhang District, Hangzhou, Zhejiang Province, People's Republic of China.
Changes to these Terms and contact information
We may update these Terms from time to time. If there are material changes, we will update the "Last updated" date above and provide additional notice where required by law. Continued use of the Service after changes take effect constitutes your acceptance of the revised Terms.
